These Terms of Service ("Terms") govern your use of midwestonlinesolutions.com and any services provided by Midwest Online Solutions - St. Louis, LLC ("Company," "we," "us," or "our"). By accessing our website or purchasing our services, you agree to these Terms in full. If you do not agree, do not use our website or services.
1. Nature of Services — Website-as-a-Service
Our services are provided as a managed website service ("Website-as-a-Service"). We design, build, host, and maintain your website on our platform. Continued access to your website requires an active Support Plan. We are not a traditional web development agency transferring ownership of a standalone product — we are an ongoing service provider managing your web presence.
2. Build Plans — One-Time Setup Fee
Our Build Plans cover the design, development, and launch of your website. The one-time setup fee is due upon acceptance of a written quote or proposal. Work begins after receipt of payment.
- We will deliver your completed website within fourteen (14) business days of our kickoff call, provided you supply all required content (text, photos, and any other materials) in a timely manner.
- Delays caused by late content delivery from the client may extend the delivery timeline. We will notify you of any such delay.
- Rush delivery (7 business days) is available for an additional fee as listed in our current pricing.
- The setup fee is non-refundable once design work has commenced.
3. Revision Rounds
Each Build Plan includes a defined number of revision rounds as follows:
- Starter Build Plan: One (1) revision round included
- Standard Build Plan: Two (2) revision rounds included
- Premium Build Plan: Two (2) revision rounds included
A revision round is defined as one consolidated set of feedback submitted after reviewing a delivered draft. Each round of revisions must be submitted in a single communication. Feedback submitted in multiple separate messages after a draft delivery constitutes multiple revision rounds.
Additional revision rounds beyond those included in your plan are billed at $75.00 per hour, approved by you in advance before work begins.
4. Support Plans — Monthly Fee
Our Support Plans provide ongoing hosting, security monitoring, domain management, and maintenance services on a month-to-month basis.
- Support Plans begin on the date your website goes live and are billed monthly.
- Support Plans are month-to-month with no long-term contract. Either party may cancel with thirty (30) days written notice.
- Monthly fees are billed in advance at the start of each billing cycle.
- Included edit hours reset monthly and do not roll over. Additional hours beyond your plan limit are billed at $75.00 per hour, approved by you in advance.
- We reserve the right to adjust Support Plan pricing with sixty (60) days written notice. You may cancel without penalty if you do not accept a price change.
5. Payment and Non-Payment
All fees are due upon receipt of invoice unless otherwise agreed in writing.
- We reserve the right to suspend or disable your website and all related services immediately upon failure to pay any invoice when due.
- Services will not be restored until all outstanding balances are paid in full.
- You agree not to initiate chargebacks or payment disputes without first contacting us at midwestonlinesolutions@gmail.com to attempt resolution. We reserve the right to dispute any chargeback and recover all associated costs, including fees charged by our payment processor.
- Accounts with outstanding balances of sixty (60) days or more may be referred to collections. You agree to pay all reasonable costs of collection, including attorney fees.
6. Pass-Through Costs
Certain third-party costs — including domain registration, third-party software licenses, and integrations — are billed to you at our exact cost with no markup. We will always provide documentation (receipt or invoice) of any pass-through charges before billing. These costs are separate from our Build and Support Plan fees.
7. Website Ownership
Content you provide (text, photos, logos, and other materials) remains your property at all times.
The website itself — including its design, structure, code, and hosting environment — is built and maintained on our platform and is included as part of your active Support Plan. Ownership of the website infrastructure does not transfer to you by default.
If you cancel your Support Plan and wish to take ownership of the website, a one-time Transfer Fee of $500.00 applies. We are not obligated to provide files or transfer access until the Transfer Fee and any outstanding balances are paid in full. Upon receipt of all amounts owed, we will provide you with all necessary files and credentials to host the site independently.
If the Transfer Fee is not paid, the website will be taken offline thirty (30) days after cancellation.
8. Cancellation
You may cancel your Support Plan at any time with thirty (30) days written notice sent to midwestonlinesolutions@gmail.com.
- Your website will remain live for thirty (30) days following cancellation.
- During this period, you may purchase site ownership for a one-time Transfer Fee of $500.00, provided all outstanding balances are paid in full.
- If no Transfer Fee is received within the thirty (30) day window, the website will be taken offline and files may be deleted after sixty (60) days.
- No refunds are issued for partial months of service.
9. Third-Party Platforms and Integrations
Our services may rely on third-party platforms, hosting providers, website builders, and integrations. We are not responsible for outages, errors, pricing changes, feature modifications, or service interruptions caused by these third parties. In the event a third-party platform discontinues a service or makes material changes that affect your website, we will make reasonable efforts to find an alternative solution but cannot guarantee continuity of any specific third-party feature.
10. Use of Artificial Intelligence Tools
We may use AI-assisted tools and platforms in the design, development, and delivery of our services, including website builders, code generation tools, and content creation platforms.
- Where copywriting services are provided as an add-on, content may be generated with the assistance of AI tools. Client is responsible for reviewing all AI-generated content for accuracy, factual correctness, completeness, and compliance with applicable laws before publication.
- We make no warranty regarding the originality, copyright status, or accuracy of AI-generated content. Client assumes full responsibility for all content published on their website, including AI-assisted content we deliver.
- Information you share with us in the course of your project — such as your business description, goals, and preferences — may be processed through AI platforms solely for the purpose of building your website. We do not share sensitive personal or confidential business information with AI platforms beyond what is necessary to deliver your project.
11. Add-On Services
Add-on services (including but not limited to rush delivery, logo design, copywriting, third-party integrations, and additional edit hours) are quoted and approved separately before work begins. Add-on fees are non-refundable once work has commenced.
12. Client Responsibilities
To allow us to perform services effectively, you agree to:
- Provide accurate and complete information about your business and requirements
- Supply all necessary content (text, images, logos) in a timely manner
- Review and provide feedback on work-in-progress within five (5) business days of delivery
- Consolidate all revision feedback into a single communication per revision round
- Ensure that any content you provide does not infringe on third-party intellectual property rights
- Maintain accurate billing information
- Comply with all applicable laws and regulations in connection with your website and business
13. Client Responsibility for Website Content
You are solely responsible for all content, data, and activities conducted through your website, including compliance with all applicable laws and regulations. We are not responsible for reviewing, monitoring, or ensuring the legality of content you provide or publish through your website.
14. Acceptable Use
You agree not to use your website or our services for any of the following:
- Illegal activities of any kind
- Copyright infringement or violation of any intellectual property rights
- Fraud, deceptive practices, or misrepresentation
- Distribution of malware, viruses, or harmful code
- Sending unsolicited commercial communications (spam)
- Harassment, defamation, or promotion of violence or discrimination
Violation of this Acceptable Use policy may result in immediate suspension of services without refund.
15. Intellectual Property
Upon full payment of all applicable fees, you are granted a license to use the website we build for you as long as your Support Plan remains active. All design templates, code frameworks, and tools used in building your site remain the intellectual property of Midwest Online Solutions or our licensors.
You represent and warrant that any content, images, logos, or materials you provide to us do not infringe upon the intellectual property rights of any third party. You agree to indemnify us against any claims arising from content you have provided.
16. No Guarantee of Results
We do not guarantee any specific business outcomes resulting from use of our services, including but not limited to increased revenue, customer leads, website traffic, or search engine rankings. Website performance depends on many factors outside our control, including market conditions, competition, and client business operations.
17. Limitation of Liability
To the fullest extent permitted by law, Midwest Online Solutions - St. Louis, LLC shall not be liable for any of the following, regardless of the cause:
- Loss of business, revenue, or profits
- Loss or corruption of data
- Website downtime or service interruptions
- Failures or changes made by third-party platforms or integrations
- Errors, inaccuracies, or omissions in AI-generated content delivered as part of our services
- Indirect, incidental, consequential, or punitive damages of any kind
Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.
18. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free from security vulnerabilities. We disclaim all implied warranties, including merchantability and fitness for a particular purpose.
19. Force Majeure
We are not liable for any delay or failure to perform our obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet outages, cyberattacks, power failures, or third-party service disruptions. We will notify you of any such event and resume performance as soon as reasonably practicable.
20. Governing Law
These Terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of St. Louis County, Missouri, and you consent to the jurisdiction of such courts.
21. Dispute Resolution
Before initiating any legal action, both parties agree to attempt to resolve disputes informally by contacting us at midwestonlinesolutions@gmail.com. We will make a good-faith effort to resolve any dispute within thirty (30) days of written notice.
22. Changes to These Terms
We reserve the right to update these Terms at any time. When we do, we will update the "Last Updated" date at the top of this document. We will notify active clients of material changes by email with at least thirty (30) days notice. Continued use of our services after changes constitutes acceptance of the revised Terms.
23. Entire Agreement
These Terms, together with any written quote or proposal provided to you, constitute the entire agreement between you and Midwest Online Solutions - St. Louis, LLC with respect to the subject matter herein, and supersede all prior or contemporaneous communications and agreements.
